Article 1 (Introduction)

These Terms of Service (hereinafter referred to as the "Terms") set forth the conditions for use of the web service "LiveTablePlus" (hereinafter referred to as the "Service") provided by LiveTablePlus株式会社 (hereinafter referred to as the "Company").

By using the Service, you are deemed to have agreed to these Terms. If you do not agree to these Terms, you may not use the Service.

These Terms apply to all applications included in the Service (the consumer-facing app, the restaurant-facing app, and the administrative app).

Article 2 (Definitions)

In these Terms, the following terms shall have the meanings set forth below:

  • "User": Any person who registers for or uses the Service
  • "Consumer User": A User who searches for restaurants, views videos, makes reservations, and performs similar activities
  • "Restaurant User": A User who uses the Service as a restaurant owner or staff member
  • "User-Posted Content": Videos, comments, reviews, images, and other content posted by Users on the Service
  • "Restaurant Information": Information registered by a Restaurant User, including restaurant name, address, business hours, menus, and similar information

Article 3 (Account Registration)

  1. An account is required in order to use certain features of the Service.
  2. When registering, Users must provide accurate and up-to-date information. Registration using false information is prohibited.
  3. Users are responsible for properly managing their account login credentials (email address and password).
  4. Transfer, lending, or sharing of an account with any third party is prohibited.
  5. If a User becomes aware of any unauthorized use of their account, they shall promptly notify the Company.
  6. In principle, a single User may not create multiple accounts.

Article 4 (Description of the Service)

The Service is a gourmet platform that connects restaurants and consumers through video content, and provides the following features:

  • Viewing and searching for restaurant food videos
  • Restaurant reservations
  • Posting of videos, comments, and reviews
  • Table ordering using QR codes
  • Restaurant-facing order management, hall management, kitchen management, and checkout functions
  • Other features that the Company may provide from time to time

The Company may modify, add to, or discontinue the content of the Service without prior notice.

Article 5 (Prohibited Conduct)

When using the Service, Users shall not engage in any of the following acts:

  1. Acts that violate applicable laws or public order and morals
  2. Acts related to criminal activity
  3. Acts that infringe the rights of other Users, restaurants, third parties, or the Company (including intellectual property rights, rights of likeness, and privacy rights)
  4. Defamation, threats, or harassment against other Users, restaurants, third parties, or the Company
  5. Posting or registering false information
  6. Using the Service for the purpose of solicitation, promotion, advertising, or business activities (except as approved by the Company)
  7. Placing an undue burden on the Service's systems
  8. Acts that interfere with the operation of the Service
  9. Unauthorized access or attempts thereof
  10. Unauthorized use of another User's account
  11. Providing benefits to, or otherwise cooperating with, antisocial forces
  12. Posting content that contains obscene, violent, or discriminatory material
  13. Unauthorized commercial use of information obtained through the Service
  14. Any other acts that the Company deems inappropriate

Article 6 (User-Posted Content)

  1. Copyright in User-Posted Content belongs to the User who posted it. However, at the time content is posted to the Service, the User grants the Company a free, non-exclusive, worldwide, sublicensable license to use such content (including reproduction, public transmission, adaptation, redistribution, and secondary use) for the purposes of operating, improving, and promoting the Service. This license shall continue to apply to content that has already been used, even after the User deletes their account.
  2. Users represent and warrant that their User-Posted Content does not infringe the rights of any third party (including copyrights, rights of likeness, and trademark rights).
  3. If the Company determines that any User-Posted Content violates these Terms or applicable laws, the Company may delete or unpublish such content without prior notice.
  4. The Company makes no warranty whatsoever as to the accuracy or legality of User-Posted Content.

Article 7 (Reservations and Orders)

  1. Reservations made through the Service constitute direct contracts between Consumer Users and restaurants. The Company merely facilitates such reservations and is not a party to the resulting contracts.
  2. Cancellations of reservations shall be governed by the cancellation policy established by each restaurant. No-show cancellations are strictly prohibited, and repeated occurrences may result in suspension of the User's account.
  3. Orders placed through the table ordering function constitute direct transactions with the restaurant. The restaurant is responsible for the quality and safety of the products provided.
  4. Disputes related to reservations or orders shall, in principle, be resolved directly between the Consumer User and the restaurant. The Company may, where necessary, act as an intermediary, but does not guarantee resolution.

Article 8 (Intellectual Property Rights)

  1. All intellectual property rights relating to the Service (including software, designs, logos, trademarks, and databases) belong to the Company or to the rightful holders thereof.
  2. Users may not reproduce, republish, modify, or distribute content of the Service without the prior written consent of the Company.

Article 9 (Disclaimers)

  1. The Company makes no warranty of any kind, whether as to the content, accuracy, completeness, or usefulness of the Service or any information provided through it.
  2. The Company shall not be liable for any damages incurred by Users arising out of use of the Service, except in cases of willful misconduct or gross negligence by the Company.
  3. The Company shall not be liable for any disputes between Users or between Users and restaurants.
  4. The Company shall not be liable for any damages incurred by Users due to interruption, suspension, or termination of the Service, or loss of data.
  5. Restaurant information, menus, prices, and similar details displayed on the Service may differ from actual conditions. For the most up-to-date information, please contact the relevant restaurant directly.

Article 10 (Modification and Suspension of the Service)

  1. The Company may modify, interrupt, or suspend all or part of the Service in any of the following cases:
    • When carrying out system maintenance, inspection, or updates
    • When force majeure events such as natural disasters, power outages, or communication failures occur
    • In any other case in which the Company determines such action to be unavoidable
  2. The Company shall not be liable for any damages arising from the modification, interruption, or suspension of the Service.

Article 11 (Suspension and Deletion of Accounts)

  1. The Company may suspend or delete a User's account without prior notice if the User violates these Terms or if the Company determines that any of the following apply:
    • The User has violated any provision of these Terms
    • The User's registration information contains false statements
    • The User has not logged in for a certain period of time
    • The Company otherwise determines that continued use of the account is inappropriate
  2. Users may request deletion of their account through their My Page or through the contact form.
  3. After account deletion, the User's personal information will be handled in accordance with the Company's Privacy Policy.

Article 12 (Damages)

If a User causes damage to the Company or any third party as a result of violating these Terms, the User shall be liable for compensating such damage.

Article 13 (Amendments to These Terms)

  1. The Company may amend these Terms from time to time.
  2. The amended Terms shall take effect upon being posted on the Service.
  3. In the case of material amendments, the Company will provide prior notice through the Service or by email.
  4. If a User continues to use the Service after an amendment, the User shall be deemed to have agreed to the amended Terms.

Article 14 (Governing Law and Jurisdiction)

  1. These Terms shall be construed and applied in accordance with the laws of Japan.
  2. Any dispute arising in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the Osaka District Court as the court of first instance.
